RIXX Invest AG, based in Berlin and listed over the counter on the Berlin Stock Exchange (“RIXX”), intends to acquire Rattlesnake Oil and Gas LLC from CMR Holding Group Ltd. to be fully taken over at a valuation of EUR 40 million. This was decided by the Executive Board and Supervisory Board of RIXX on November 2, 2022. The acquisition of Rattlesnake Oil and Gas LLC will be made by way of a non-cash capital increase against issuance of common and preferred shares to be decided at an extraordinary general meeting on December 14, 2022. The plan is to issue 10 million new shares, divided into 6,666,667 common shares and 3,333,333 preferred shares at a price of EUR 4.20 (common shares) and EUR 3.60 (preferred shares). The preferred shares are to be provided with a preferential dividend of EUR 0.36. The signing of the contribution agreement is expected in the coming days.
